Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs Customer's use of the Service and is incorporated into the Agreement. Customer agrees not to, and will not permit any Authorized User to, use the Service in violation of this AUP.

Global Policy

The following uses of the Service are prohibited worldwide:

Violations of Law and Rights

  • Use the Service in a manner that violates any applicable federal, state, local, or international law or regulation.
  • Violate or infringe upon the privacy rights of any individual, including the collection, storage, or processing of personal data in violation of applicable privacy laws.
  • Infringe upon the intellectual property rights of any third party, including copyrights, trademarks, patents, or trade secrets.
  • Build, maintain, or contribute to biometric identification databases in violation of applicable law.
  • Exploit vulnerabilities in the Service, including attempting to gain unauthorized access to systems, accounts, or data.
  • Use the Service for social scoring or ranking individuals based on personal characteristics, behavior, or perceived trustworthiness.
  • Use the Service to profile individuals in a manner that is discriminatory, harassing, or otherwise unlawful.

Security and Integrity

  • Introduce viruses, worms, Trojan horses, ransomware, or other malicious code into the Service or any connected systems.
  • Interfere with, disrupt, or degrade the performance, availability, or integrity of the Service or its underlying infrastructure.
  • Circumvent, disable, or otherwise interfere with any security, authentication, or access control features of the Service.

Competitive and Misuse Restrictions

  • Use the Service to build, train, or improve a product or service that competes with or is substantially similar to the Service.

Professional and Automated Decision-Making

  • Use the Service to provide professional advice, including legal, medical, financial, or engineering advice, without independent review and validation by a qualified human professional.
  • Use the Service to make automated decisions that materially affect the rights, benefits, or obligations of individuals without meaningful human supervision.
  • Use the Service to make decisions regarding education, employment, or legal services without meaningful human involvement in the decision-making process.

Construction-Specific Policy

All output generated by the Service related to construction projects is informational only and does not constitute professional engineering, architectural, or construction management advice. Output is not a substitute for the independent professional judgment of licensed engineers, architects, or other qualified construction professionals.

Customer shall not use the Service to override or circumvent established construction project processes, including but not limited to requests for information (RFI), submittal review workflows, and change-order procedures. The Service is intended to supplement, not replace, these processes.

Microsoft 365 Project Mailbox Use

Where Customer uses Microsoft 365 project mailbox functionality in connection with the Service, Customer acknowledges that communications sent through or processed by the project mailbox may be shared with project stakeholders in accordance with the project configuration. Customer is responsible for ensuring that all stakeholders are aware of and consent to the use of the project mailbox for project-related communications.

European Union Policy

In addition to the restrictions set forth in the Global Policy above, the following additional restrictions apply to use of the Service within the European Union or in connection with data subjects located in the European Union:

  • Use the Service to make decisions regarding educational enrollment or admissions without meaningful human involvement.
  • Use the Service to evaluate learning outcomes in a manner that determines or materially influences a student's educational progression.
  • Use the Service to assess an individual's education level or qualifications without meaningful human review.
  • Use the Service for the interpretation or application of judicial facts or law in a manner that influences judicial proceedings or outcomes.

Enforcement

Efficiently reserves the right to enforce this AUP at any time. If Efficiently determines, in its sole discretion, that Customer's use of the Service violates this AUP, Efficiently may take one or more of the following actions:

  • Remove or disable access to content that violates this AUP.
  • Suspend Customer's or an Authorized User's access to the Service, in whole or in part, with or without prior notice.
  • Terminate the Agreement in accordance with the termination provisions set forth in the Terms of Service.

Efficiently will use commercially reasonable efforts to notify Customer prior to taking enforcement action, except where immediate action is necessary to protect the security or integrity of the Service or to comply with applicable law.
